CALIFORNIA CONSUMER PRIVACY ACT SERVICE PROVIDER ADDENDUM

Effective: June 18, 2025

To the extent a client is subject to the California Consumer Privacy Act, as amended by the California Privacy Rights Act, and its implementing regulations (“CCPA”), this CCPA Service Provider Addendum shall form part of the engagement agreement between the client and Hooper, Lundy & Bookman (HLB). With respect to any client information that is “personal information” under the CCPA and that HLB processes on behalf of client as a “Service Provider” (as defined by the CCPA) in the course of providing legal services to client, HLB will:

  1. Not “sell” or “share” (as such quoted terms are defined in the CCPA) personal information it collects from client.
  2. Only process client personal information only for the purpose of providing legal services (including billing for such services) to client, and acknowledges that client is disclosing its personal information to HLB only for the purpose of receiving legal services from HLB.
  3. Not retain, use, or disclose client personal information for any purpose other than providing legal services (including billing for such services) to client, or as otherwise permitted by the CCPA or expressly permitted by a client with the client’s prior written consent.
  4. Not retain, use, or disclose client personal information for any commercial purpose other than providing legal services (including billing for such services) to client, unless expressly permitted by the CCPA or expressly permitted by a client with the client’s prior written consent.
  5. Not retain, use, or disclose client personal information outside the direct business relationship between HLB and the client, unless expressly permitted by the CCPA or expressly permitted by a client with the client’s prior written consent.
  6. Comply with all applicable sections of the CCPA, including – with respect to client personal information – providing the same level of privacy protection as required of businesses by the CCPA. Specifically, HLB will implement reasonable security procedures and practices appropriate to the nature of the personal information to protect the personal information from unauthorized or illegal access, destruction, use, modification, or disclosure in accordance with Cal. Civil Code section 1798.81.5.
  7. Grant client the right to take reasonable and appropriate steps to ensure that HLB uses the personal information that it collected from client in a manner consistent with client obligations under the CCPA. 10007989.4
  8. Notify client after HLB makes a determination that it can no longer meet its obligations under the CCPA.
  9. Grant client the right, upon notice, to take reasonable and appropriate steps to stop and remediate HLB’s unauthorized use of client personal information.
  10. Enable client to comply with consumer requests made pursuant to the CCPA or require client to inform HLB of any consumer request made pursuant to the CCPA that they must comply with and provide the information necessary for HLB to comply with the request.
