HLB announced today that it served as health care regulatory counsel to 101 West State Street Holdings in its acquisition of a nationwide health care platform from Genesis.

The transaction encompasses health care operations across 16 states and includes a broad portfolio of skilled nursing, senior living, rehabilitation, physician-services, and value-based care businesses. The platform includes a significant skilled nursing network, assisted and independent living operations, the Powerback rehabilitation platform, AlignMed, and LTC ACO.

HLB advised on the regulatory, reimbursement, licensing, compliance, and operational issues necessary to support the transaction and its implementation. The firm’s work spanned numerous jurisdictions and healthcare sectors, requiring coordination of licensure, provider enrollment, reimbursement, and other regulatory matters on an expedited timeline.

“Large health care transactions succeed when legal, regulatory, operational, and reimbursement strategies work together,” said Scott Kiepen, HLB partner and one of the lead partners on the engagement. “This transaction highlights the depth of experience our team brings to complex health care acquisitions and our ability to help clients navigate the regulatory challenges that accompany transformational growth.”

HLB continues to advise on post-closing integration, including licensing transitions, Medicare and Medicaid matters, managed care credentialing and contracting, reimbursement issues, and operational integration initiatives.
